These Terms of Use (“Terms”) govern your use of the Shopdigits Shopify app and mobile applications (collectively, the “Service”) operated by Decision Trees Inc (“we,” “our,” or “us”). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

Shopdigits provides a virtual call center solution for Shopify stores, including:

  • Business phone number provisioning (local and toll-free)
  • Call routing and management for multiple employees
  • Mobile applications for iOS and Android devices
  • SMS messaging capabilities
  • Integration with Shopify order data
  • Call recording and analytics (if enabled)

2. Eligibility and Account Creation

To use our Service, you must:

  • Be at least 18 years old or have parental consent
  • Have a valid Shopify store account
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access

You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials.

3. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Send spam, unsolicited messages, or engage in harassment
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service to transmit harmful, offensive, or inappropriate content
  • Violate any carrier policies or telecommunications regulations
  • Use the Service for telemarketing without proper consent

4. Phone Number and Communication Services

Phone Number Provisioning

  • We will provide you with a business phone number for your Shopify store
  • Phone numbers are subject to availability and carrier requirements
  • You may not transfer or port phone numbers to other services
  • We reserve the right to change or discontinue phone numbers with notice

Call and SMS Usage

  • All calls and messages must comply with applicable laws and regulations
  • You must obtain proper consent before sending marketing messages
  • You are responsible for the content of all communications
  • We may monitor calls and messages for quality assurance and compliance
  • Emergency calls (911) are not supported through our Service

5. Mobile Applications

App Usage

  • Our mobile apps are available for iOS and Android devices
  • You must download apps from official app stores only
  • App updates may be required for continued functionality
  • You are responsible for maintaining compatible devices

App Permissions

  • Phone permissions are required for making and receiving calls
  • Microphone access is needed for voice communications
  • Contact access helps identify customers during calls
  • Storage permissions enable app functionality and data caching
  • You can manage permissions through your device settings

6. Subscription and Billing

Pricing Plans

  • Service is provided on a subscription basis with monthly billing
  • Pricing varies based on the number of employees and features
  • Additional charges may apply for new phone numbers
  • All prices are in USD and subject to applicable taxes

Billing and Payment

  • Billing occurs every 30 days on your subscription anniversary
  • Payment is processed through Shopify's billing system
  • Failed payments may result in service suspension
  • Refunds are provided at our discretion and in accordance with our refund policy

7. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • We collect and process data necessary to provide our Service
  • Call records and communication data are stored securely
  • You retain ownership of your customer data
  • We implement appropriate security measures to protect your information
  • Data processing complies with applicable privacy laws

8. Service Availability and Support

Service Availability

  • We strive to maintain 99.9% service uptime
  • Scheduled maintenance may temporarily affect service
  • Service may be unavailable due to factors beyond our control
  • We will provide reasonable notice for planned outages

Technical Support

  • Support is available through our help desk and documentation
  • Response times vary based on issue severity and subscription tier
  • We provide support for our Service but not for third-party integrations
  • Support is available in English only

9. Intellectual Property

The Service, including its content, features, and functionality, is owned by Decision Trees Inc and is protected by copyright, trademark, and other intellectual property laws.

  • You may not copy, modify, or distribute our software
  • You may not reverse engineer or attempt to extract source code
  • Our trademarks and branding may not be used without permission
  • You retain rights to your own content and customer data

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DECISION TREES INC BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from service interruptions or data loss
  • Any damages exceeding the amount paid for the Service in the 12 months preceding the claim

This limitation does not apply to damages caused by our gross negligence or willful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Decision Trees Inc from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any applicable laws or regulations.

12. Termination

Termination by You

You may cancel your subscription at any time through your Shopify app settings.

Termination by Us

We may terminate or suspend your access to the Service immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Payment is not received within 30 days of due date
  • We discontinue the Service

Effect of Termination

  • Your access to the Service will cease immediately
  • Phone numbers may be reclaimed by carriers
  • Data will be retained according to our data retention policy
  • No refunds will be provided for partial months

13. Governing Law and Disputes

These Terms are governed by the laws of British Columbia, Canada. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in Vancouver, BC, in accordance with the rules of the British Columbia International Commercial Arbitration Centre.

You and we agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
